You may wish to print and keep a copy of these terms and conditions for your records. These terms and conditions do not affect your statutory rights.
Definitions
“Personal data” shall have the meaning set out in the Data Protection Act 2018.
“Service(s)” means the training course(s), competency assessment, and care plan development offered by Heron & Gull Ltd.
“Scheduled course(s)” means trainer-led courses offered by Heron & Gull Ltd with a pre-set date, pre-set syllabus, and pre-set venue offered to individuals or groups.
“Bespoke/customised training/courses” means the trainer-led training/courses offered by Heron & Gull Ltd to the specification of individuals or companies.
“Learning materials” means printed or electronic workbooks, practice questions and other learning aids provided by Heron & Gull Ltd to enhance learning experience.
“We/us/our” means Heron & Gull Ltd (a body incorporated and registered in England and Wales (11048436) with Companies House whose registered office is at 35a Hazlemere Road, Penn, Buckinghamshire, HP10 8AD.
“Website” means www.heronandgull.co.uk or any subsequent URL which may replace it.
“You” means the purchaser of services from Heron & Gull Ltd.
Course prices
All our prices are subject to VAT at the prevailing rate. The VAT registration number for Heron & Gull Ltd is GB 299 0117 82.
Payment by you – Individual (including Personal Health Budget (PHB) holders)
On booking, an invoice will be sent to you. Full payment by bank transfer or company or personal cheque is required prior to course attendance.
Payment by you – Company
A course booking will be regarded as confirmed as soon as dates are agreed. Following the agreement of course dates, we will consider a verbal contract is taking place having an offer, acceptance and consideration, and will issue an invoice.
Transfer to an alternative date by you (scheduled courses)
You may transfer to an alternative scheduled course date without incurring a cost, provided that we receive this request at least 5 working days before the course start date. If you book a course less than 5 working days before the course start date, you will not be able to make a transfer.
In the event of illness, if you provide us with a medical certificate as proof, we will arrange a transfer free of charge. Transfer requests can be received either by phone 0330 123 3866 or email info@heronandgull.co.uk.
Delegate substitutions
There will be no charge to substitute delegates. Please inform us of any change to the original booking either by phone 0330 123 3866 or email info@heronandgull.co.uk.
Changes to bespoke/customised courses by you
Any changes of dates and venue may attract additional appropriate expenses such as hotel costs and travel.
Cancellation or rescheduling of courses by us
We reserve the right to cancel or reschedule any of our courses. Where it is necessary to cancel or reschedule any courses, you will be informed at the first available opportunity and will be rescheduled as a priority to the next available course(s) or will receive a full refund.
Cancellations by you – Individual (including Personal Health Budget (PHB) holders)

Cancellation should be made by emailing info@heronandgull.co.uk. The following charges will be made:
10 or more working days’ notice: No charge
Less than 10 working days’ notice: 50% of total course fee
Non-attendance: 100% of total course fee (in the event of illness, if you provide us with a medical certificate as proof, we will arrange a transfer free of charge)
Bespoke/customised course bookings
A cancellation charge of 50% of the total course fee will be applied. Cancellation should be made by emailing info@heronandgull.co.uk.
Cancellations by you – Company
Scheduled course bookings
Cancellation should be made by emailing info@heronandgull.co.uk. The following charges will be made:

Less than 10 working days’ notice: 50% of total course fee

Bespoke/customised course bookings
A course booking will be regarded as confirmed as soon as dates are agreed. If the course is cancelled following date agreement, a cancellation fee of 50% will be payable. Cancellation should be made by emailing info@heronandgull.co.uk.
Course joining instructions
We will issue joining instructions to the person booking the course, and to delegates attending the course, unless you request otherwise. If the person booking the course does not receive the joining instructions, it is their responsibility to contact us either by phone 0330 123 3866 or email info@heronandgull.co.uk to arrange for them to be re-sent. Failure to attend the course due to not receiving joining instructions will result in the full cost of the course being charged.
Attendance and completion of the course
Delegates must attend and complete all aspects of the course to the agreed standard to be awarded a course completion certificate.
Certificates
Certificates are generated and issued using the Delegate Attendee Register from the beginning of the course. These printable certificates are emailed to the delegate (unless advised otherwise) within 7 days following the course.
Should you choose for your certificates to be printed and posted to you by Heron & Gull, this can be arranged at a cost of £5 +VAT per certificate, including UK postage.
Special arrangements
You must advise us in advance of any special requirements that you/your delegate(s) have in order to enable you/them to participate fully in the training, by phone 0330 123 3866 or email info@heronandgull.co.uk.
Learning materials, course notes and training
We may provide learning materials, either on our website, as an electronic download, or in printed form, to support the trainer-led learning experience. These learning materials are issued free to delegates, and do not form part of the total course cost.
Our learning materials, course notes and training cannot be relied upon for legal interpretation. Neither we, nor our employees, trainers or consultants can accept responsibility for delegates’ actions, or those of other people reading the course notes or interpreting the training in litigation, or responsibility for any loss incurred as a result of relying on the training or the training notes. All learning materials, training guides, notes and workbooks are under copyright of Heron & Gull Ltd and copying and distribution without consent is strictly prohibited.
Limitation of liability
Except in respect of death or personal injury caused by our negligence, we shall not be liable by reason of any representation (unless fraudulent) or implied warranty condition or other term, or any duty at common law or under the express terms of this agreement, for any loss of profit or any indirect special or consequential loss, costs, expenses or other claims for compensation. Our entire liability to you under or in connection with this agreement and the provision of the training shall not exceed the sum of twice the contract value. Nothing in this paragraph is intended to exclude any liability on our part for fraud.

Governing Law
These terms and conditions and all matters connected with any order you place on our website shall be governed by and construed in accordance with the laws of England and Wales and you irrevocably submit to the jurisdiction of the courts of England and Wales.
